This Client Service and Monthly Subscription Agreement ("Agreement") is entered into by and between GovAxis LLC, a Texas limited liability company ("GovAxis," "Company," "we," "us," or "our"), and the client identified in the online order form, invoice, client portal, checkout page, onboarding form, or signed service order ("Client," "you," or "your").
By signing this Agreement electronically, clicking "I Agree," submitting payment, booking a consultation, selecting a service plan, creating a client portal account, or using any GovAxis service, Client agrees to be legally bound by this Agreement, the GovAxis Terms and Conditions, Privacy Policy, Refund Policy, and any applicable service order or invoice.
GovAxis provides business consulting, administrative support, automation setup coordination, CRM setup, virtual business support, business communication support, address coordination, phone service coordination, mail-handling coordination, and related business setup assistance.
GovAxis does not provide legal, tax, accounting, immigration, investment, banking, lending, or government-agency services.
Client may select one or more service plans through GovAxis's website, invoice, proposal, checkout form, or client portal.
The selected plan may include one-time setup services, automation services, monthly subscription services, or a combination of services.
The final selected services, pricing, billing cycle, and start date shall be shown in the invoice, order form, checkout confirmation, proposal, or client portal record.
Unless otherwise stated in writing, the following recurring monthly services may be offered by GovAxis:
A. Business Address Service: $85 per month
This service may include access to a business mailing address, virtual address coordination, address-management support, or third-party address coordination, depending on the selected plan.
B. Phone Service: $20 per month
This service may include business phone-number coordination, call-forwarding coordination, voicemail setup, or related phone-system support, depending on the selected plan.
C. Mail Service: $25 per month
This service may include mail-receiving coordination, mail-notification support, mail-forwarding coordination, scanning coordination, or related third-party mail-service support, subject to verification and applicable postal requirements.
D. CRM Service: $190 per month
This service may include access to or coordination of CRM tools, client pipeline setup, automation workflows, contact management, appointment-booking workflows, form integration, email/SMS workflow setup, and related business-automation support.
These subscription fees are base monthly fees only. Additional setup fees, filing fees, third-party provider fees, state fees, software fees, usage-based charges, SMS/phone usage fees, mail-forwarding postage, scanning fees, storage fees, compliance fees, courier fees, or custom work fees may apply.
If Client purchases automation services, GovAxis may assist with CRM workflows, lead-capture forms, appointment booking, customer follow-up sequences, email/SMS automation, intake pipelines, document-request flows, payment links, and client-status tracking.
GovAxis does not guarantee that automation services will generate leads, sales, approvals, appointments, revenue, conversion rates, client retention, government contracts, bank approvals, or business success.
Client is responsible for reviewing, testing, approving, and monitoring all automations before relying on them in business operations.
GovAxis may use or coordinate with third-party platforms and providers, including but not limited to CRM systems, virtual-mailbox providers, registered agents, phone-service providers, payment processors, email/SMS platforms, website builders, government portals, banks, software vendors, and compliance vendors.
Client understands that third-party providers are independent from GovAxis. GovAxis does not control third-party pricing, policies, approvals, denials, access, outages, suspensions, service quality, processing times, or compliance decisions.
GovAxis shall not be liable for any delay, denial, suspension, cancellation, account closure, data loss, service interruption, fee, penalty, chargeback, rejection, or loss caused by any third-party provider.
If Client uses any address, virtual mailbox, mail-handling, or mail-forwarding service, Client agrees to comply with all applicable federal, state, local, postal, and third-party requirements.
Client may be required to complete USPS Form 1583, provide valid identification, complete identity verification, notarize documents, and comply with Commercial Mail Receiving Agency requirements where applicable.
GovAxis may suspend or refuse address or mail-related services if Client fails to complete required verification, provides inaccurate information, uses the service for unlawful purposes, or violates postal or third-party provider rules.
Client may not use the address service for fraud, misrepresentation, unauthorized government filings, illegal business activity, tax evasion, sanctions evasion, money laundering, misleading advertising, or any prohibited purpose.
Phone services may depend on third-party telecom, VoIP, CRM, forwarding, or communication providers.
GovAxis does not guarantee uninterrupted phone service, SMS deliverability, call quality, number availability, caller-ID performance, emergency-service capability, or regulatory compliance for Client's industry.
Client is responsible for complying with all applicable communication laws, consent rules, marketing rules, TCPA requirements, spam rules, and customer-permission requirements.
CRM services may be provided through third-party platforms. Client is responsible for reviewing all data, customer communications, workflows, automations, campaigns, templates, privacy notices, and consent language before use.
GovAxis is not responsible for Client's misuse of CRM tools, unauthorized marketing, spam, data-entry errors, customer complaints, privacy violations, or failure to comply with applicable communication and privacy laws.
Client authorizes GovAxis and its payment processor to charge Client's payment method for all selected services, monthly subscription fees, setup fees, one-time fees, usage fees, applicable taxes, third-party fees, and approved add-ons.
Monthly subscription services automatically renew each month until canceled according to this Agreement.
Client acknowledges and agrees that the recurring monthly charges may include:
Total monthly amount depends on the services selected by Client.
By purchasing any monthly service, Client expressly authorizes GovAxis to charge Client automatically on a recurring monthly basis until the subscription is canceled.
Client confirms that GovAxis disclosed the recurring nature of the subscription, the monthly price, the billing frequency, the cancellation process, and any applicable non-refundable fees before Client submitted payment.
Client may cancel monthly subscription services by submitting a written cancellation request through the client portal or by email to the official GovAxis support email.
Cancellation requests must be submitted at least 7 calendar days before the next billing date to avoid the next monthly charge.
If cancellation is submitted after the billing cycle has renewed, the cancellation will apply to the following billing cycle unless GovAxis agrees otherwise in writing.
Partial-month refunds are not provided unless required by law or approved by GovAxis in writing.
If Client's payment fails, GovAxis may suspend services, pause access, stop work, disable CRM access, stop phone support, stop address or mail services where allowed, and withhold non-essential deliverables until payment is resolved.
GovAxis may charge reasonable late fees, reactivation fees, collection costs, chargeback fees, attorney fees, or other recovery costs where permitted by law.
Setup fees, consultation fees, onboarding fees, automation fees, custom-work fees, document-preparation fees, third-party fees, state fees, government fees, software fees, and work already started are non-refundable.
Monthly subscription fees are non-refundable once the billing period begins, unless required by law or expressly approved in writing by GovAxis.
GovAxis is not a law firm, attorney, CPA firm, accountant, tax adviser, immigration adviser, bank, lender, broker-dealer, registered investment adviser, or government agency.
No service, document, consultation, email, message, website content, automation, CRM workflow, business setup, or recommendation from GovAxis shall be considered legal advice, tax advice, accounting advice, immigration advice, financial advice, securities advice, or banking advice.
Client is responsible for consulting licensed professionals before making legal, tax, immigration, financial, or compliance decisions.
GovAxis does not guarantee:
All timelines, estimates, strategies, and recommendations are provided for general business-planning purposes only.
Client is solely responsible for:
If Client is located outside the United States, Client is responsible for understanding and complying with the laws of Client's country of citizenship, residence, tax residency, and business operation.
GovAxis does not determine Client's tax residency, reporting obligations, licensing obligations, immigration status, banking eligibility, or foreign-law compliance.
Client may not use GovAxis services for:
GovAxis may immediately suspend or terminate services if it suspects prohibited activity.
GovAxis may suspend or terminate this Agreement or any service if:
Termination does not relieve Client of unpaid amounts owed.
To the maximum extent permitted by law, GovAxis LLC, its members, managers, owners, employees, contractors, agents, affiliates, vendors, and partners shall not be liable for indirect, incidental, special, consequential, punitive, exemplary, lost-profit, lost-revenue, business-interruption, reputational, banking, tax, legal, platform, postal, CRM, phone, or third-party damages.
To the maximum extent permitted by law, GovAxis's total liability for any claim shall not exceed the amount paid by Client to GovAxis for the specific service giving rise to the claim during the three months before the claim arose.
Client agrees to defend, indemnify, and hold harmless GovAxis LLC, its members, managers, owners, employees, contractors, agents, affiliates, vendors, and partners from any claim, loss, damage, penalty, investigation, chargeback, dispute, government inquiry, third-party claim, attorney fee, or expense arising from:
All GovAxis templates, workflows, CRM structures, automations, forms, scripts, website content, business methods, documents, graphics, branding, and internal processes are owned by GovAxis or its licensors.
Client may not copy, resell, distribute, reproduce, reverse-engineer, or use GovAxis materials to create a competing business without written permission.
GovAxis will use reasonable efforts to keep Client business information confidential, except where disclosure is required to perform services, comply with law, process payments, prevent fraud, coordinate with third-party providers, respond to legal requests, or protect GovAxis rights.
Client agrees that electronic signatures, checkbox consent, typed names, portal acceptance, payment submission, and electronic records have the same legal effect as physical signatures.
GovAxis may store records of Client's acceptance, including name, email, IP address, payment record, timestamp, selected plan, accepted terms version, and portal activity.
This Agreement shall be governed by the laws of the State of Texas and applicable federal law of the United States, without regard to conflict-of-law principles.
Before filing any claim, Client agrees to contact GovAxis in writing and allow at least 30 days for informal resolution.
Any dispute arising from this Agreement, services, payments, subscriptions, consultations, CRM access, address service, phone service, mail service, automation service, or communications shall be resolved by binding individual arbitration in Texas, unless applicable law requires otherwise.
No class action, collective action, representative action, or consolidated proceeding shall be permitted to the maximum extent allowed by law.
Nothing in this Agreement is intended to waive rights that cannot legally be waived under applicable Texas or federal law.
GovAxis does not authorize any salesperson, contractor, employee, affiliate, partner, or representative to promise guaranteed approvals, guaranteed bank accounts, guaranteed payment-processor approval, guaranteed government results, guaranteed revenue, guaranteed tax outcomes, or guaranteed legal compliance.
Any such promise is unauthorized and not binding unless stated in a written agreement signed by an authorized GovAxis officer.
This Agreement, the GovAxis Terms and Conditions, Privacy Policy, Refund Policy, invoice, service order, proposal, and selected online plan form the entire agreement between GovAxis and Client.
If there is a conflict, the signed service order or invoice controls regarding price and selected services, while this Agreement controls regarding legal terms, liability, payments, cancellation, and dispute resolution.
By signing, clicking "I Agree," submitting payment, selecting a plan, or using GovAxis services, Client confirms:
GovAxis reserves the right to request identity verification, beneficial ownership information, passport copies, government-issued identification, proof of address, proof of business activity, source-of-funds documentation, ownership structure documentation, operating agreements, corporate records, tax forms, and any other information reasonably required for compliance purposes.
GovAxis may suspend, delay, reject, or terminate services if verification requirements are not satisfied.
Client certifies that all beneficial owners, managers, officers, members, shareholders, and controlling persons have been accurately disclosed. Any false ownership information may result in immediate termination without refund.
GovAxis is not responsible for delays caused by federal agencies, state agencies, government offices, licensing authorities, tax agencies, postal authorities, regulatory agencies, courts, or third-party filing providers.
Estimated processing times are provided for informational purposes only and are not guarantees. GovAxis shall not be liable for losses, costs, or damages arising from delayed government processing.
GovAxis may assist with EIN application preparation and submission support.
The Internal Revenue Service (IRS) controls all EIN issuance decisions, processing timelines, requests for additional documentation, rejections, delays, corrections, or changes. GovAxis does not guarantee any EIN issuance date or processing speed.
GovAxis may assist with SAM.gov registration preparation and submission support.
GovAxis does not control SAM.gov, the General Services Administration (GSA), federal contracting agencies, federal procurement decisions, entity validation decisions, CAGE code issuance, contract awards, set-aside eligibility determinations, or federal vendor approval processes.
GovAxis does not guarantee:
GovAxis may assist with website setup, domains, email systems, landing pages, CRM integrations, communication systems, marketing workflows, business profiles, and related digital services.
GovAxis does not guarantee:
Client is solely responsible for all content, claims, representations, and compliance associated with Client's website and digital assets.
Client agrees not to initiate chargebacks, payment reversals, or payment disputes for services already delivered, work already performed, onboarding already conducted, software already provisioned, or services already accessed.
If Client initiates a chargeback or payment dispute, GovAxis may:
Records maintained by GovAxis — including invoices, service logs, portal activity, emails, recordings, acceptance logs, payment records, and onboarding records — may be used as evidence in any dispute.
GovAxis shall not be liable for delays, interruptions, failures, or inability to perform caused by circumstances beyond its reasonable control, including:
Client consents to the recording, storage, and retention of meetings, onboarding calls, customer support calls, video conferences, chat communications, portal messages, emails, SMS communications, and related business communications where permitted by law.
GovAxis may use such records for quality assurance, compliance, dispute resolution, fraud prevention, training, and legal protection purposes.
